This Creator Agreement is a legally binding contract between you (the Producer) and TRAXSTERS LTD. By registering a Producer account or uploading any Beat to the Traxsters Platform, you agree to be fully bound by the terms of this Agreement. Please read it carefully before proceeding.
1. Parties and Scope of Agreement
This Creator Agreement ("Agreement") is entered into between TRAXSTERS LTD, a company incorporated under the laws of the Federal Republic of Nigeria ("Traxsters", "Company", "we", "us", or "our"), and the individual or entity registering as a Producer on the Traxsters platform at www.traxsters.com ("Platform") ("Producer", "Creator", "you", or "your").
This Agreement governs the relationship between Traxsters and all Producers who upload, list, license, or sell musical compositions, sound recordings, instrumentals, sample packs, or any other audio content (collectively, "Beats") on the Platform. It sets out your rights, your obligations, how you earn money, how royalties and payouts work, and the standards of conduct you must uphold as a Creator on Traxsters.
This Agreement is incorporated into and forms part of the Traxsters Terms of Use, Privacy Policy, Refund Policy, and DMCA & Copyright Policy (collectively, "Platform Policies"). In the event of a conflict between this Agreement and the Terms of Use on matters specifically relating to Producers, this Agreement shall prevail to the extent of the inconsistency.
By clicking "I Agree", completing your Producer account registration, or uploading any Beat to the Platform, you confirm that you have read, understood, and agree to be legally bound by this Agreement and all Platform Policies.
2. Eligibility to Be a Producer
To register as a Producer and upload Beats on the Platform, you must meet all of the following eligibility requirements:
You must be at least 18 years of age, or the age of legal majority in your jurisdiction if higher. Producers under 18 may only participate with the verifiable consent and active supervision of a parent or legal guardian who accepts this Agreement on their behalf.
You must be a human individual or a duly registered legal entity with the capacity to enter into binding contracts under applicable law.
You must not have been previously suspended or permanently banned from the Platform.
You must have the full legal right, power, and authority to enter into this Agreement and to grant the rights and licences described herein.
You must provide accurate, complete, and up-to-date registration information, including a valid email address and, where required for payouts, verifiable identity and banking information.
Traxsters reserves the right to verify your eligibility at any time and to suspend or terminate your account if you are found to no longer meet these requirements.
3. Producer Account
3.1 Account Setup
Upon successful registration, you will have access to a Producer dashboard from which you can upload Beats, manage your catalogue, set pricing and license terms, track sales and Earnings, and manage your payout settings. You are responsible for maintaining the security and confidentiality of your account credentials and for all activity that occurs under your account.
3.2 Profile and Branding
You may customise your Producer profile with a display name, profile photo, biography, social media links, and genre tags. Your profile is publicly visible to all Platform users. You must ensure that your profile information is accurate and does not misrepresent your identity, impersonate another artist or public figure, or use any trademarked names, logos, or brand identifiers without authorisation.
3.3 Account Verification
Traxsters may at any time require you to verify your identity, age, or ownership of the payment account associated with your profile. This may include submitting a government-issued ID, a selfie, or bank account documentation. Failure to complete verification within the specified timeframe may result in suspension of your ability to withdraw Earnings or upload new content.
3.4 Single Account Policy
Each Producer may maintain only one active Producer account. Creating multiple accounts to circumvent suspensions, bans, or verification requirements is strictly prohibited and will result in permanent termination of all associated accounts.
4. Uploading and Listing Beats
4.1 Content Standards
All Beats uploaded to the Platform must meet the following minimum content standards:
The Beat must be an original composition created by you, or one for which you hold all necessary rights to upload, distribute, and license on the Platform.
The audio file must be complete, functional, and of reasonable commercial quality. Corrupted, incomplete, or deliberately low-quality files intended to mislead Buyers are prohibited.
The Beat must not contain any spoken or sampled vocals, hooks, or melodies from third-party recordings unless you hold valid written clearances for all such elements.
The Beat must not contain any content that is defamatory, obscene, hateful, or otherwise prohibited under our Terms of Use or applicable Nigerian law.
All metadata — including title, tags, genre, BPM, key, and description — must accurately describe the Beat. Misleading metadata designed to game search results is prohibited.
4.2 Exclusive and Non-Exclusive Listings
When listing a Beat, you must accurately designate whether it is available for non-exclusive licensing, exclusive licensing, or both. You represent and warrant that:
A Beat listed as available for exclusive sale has not previously been sold exclusively to another buyer and is not subject to any pre-existing exclusive licence, co-ownership arrangement, or contractual restriction that would prevent exclusive sale.
Once an exclusive licence is sold through the Platform, you will immediately cease licensing the same Beat to any other party and will take all reasonable steps to remove the Beat from any other platform or marketplace where it is listed.
A Beat listed for non-exclusive licensing may be sold to multiple Buyers simultaneously. You remain the owner of the copyright and retain the right to continue licensing the Beat non-exclusively unless and until an exclusive licence is sold.
4.3 Pricing
You have full discretion to set the price for each license tier of your Beats, subject to any minimum or maximum price thresholds communicated by Traxsters from time to time. Prices must be set in good faith and must not be manipulated to artificially inflate or deflate sales metrics. Traxsters reserves the right to feature, promote, or discount Beats as part of platform-wide promotional campaigns, and will notify you in advance of any promotional pricing that affects your content.
4.4 Content Removal by Producer
You may remove or delist a Beat from the Platform at any time via your Producer dashboard. However, removal does not affect any licences already granted to Buyers prior to removal. Buyers who have already purchased a licence for a removed Beat retain all rights granted under that licence. Traxsters is not liable to you for any loss of potential sales resulting from the removal of your content.
5. Intellectual Property Ownership and Licences
5.1 You Retain Ownership
You retain full ownership of the copyright and all other intellectual property rights in and to all Beats you upload to the Platform. Nothing in this Agreement transfers ownership of your Beats to Traxsters. Traxsters acquires only the limited rights expressly granted in this Agreement.
5.2 Licence Granted to Traxsters
By uploading a Beat to the Platform, you grant Traxsters a worldwide, royalty-free, non-exclusive, sublicensable, and transferable licence to:
Host, store, reproduce, and serve your Beat files on the Platform and on associated content delivery networks (CDNs).
Stream preview clips of your Beats (typically 30 seconds or as configured) to Platform visitors for the purpose of enabling discovery and purchase.
Display your Beat title, cover artwork, metadata, and profile information in connection with the listing and promotion of your Beat.
Use your Beat title, username, and promotional clips in Traxsters' own marketing, advertising, and promotional materials, including social media posts, newsletters, and platform features, provided such use does not imply an endorsement by you of any product or service beyond the Traxsters Platform itself.
Deliver the purchased Beat files and licence documents to Buyers upon completion of a transaction.
This licence commences upon upload and terminates upon removal of the Beat from the Platform, except to the extent necessary for Traxsters to fulfil obligations to Buyers who have already completed purchases. Traxsters does not acquire any right to sublicense your Beats to third parties for use beyond the Platform without your separate written consent.
5.3 Licence Granted to Buyers
When a Buyer purchases a licence to your Beat, you directly grant that Buyer a non-exclusive (or exclusive, as applicable) licence to use the Beat in accordance with the license tier purchased. The specific terms of each licence type are detailed in the licence agreement presented to the Buyer at checkout. As the rights holder, you are the licensor of record for all Beat licences sold through the Platform. Traxsters acts solely as the marketplace facilitator and is not a party to the licence agreement between you and the Buyer.
5.4 Warranties of Ownership
You represent, warrant, and covenant on an ongoing basis that:
You are the sole and original creator of all Beats you upload, or you have obtained all necessary rights, clearances, and licences from all relevant rights holders to upload, license, and distribute the Beat through the Platform.
All samples, loops, recordings, melodies, and other third-party elements incorporated into your Beats are fully cleared and licensed for commercial use and re-licensing to Buyers.
You have not assigned, exclusively licensed, or otherwise encumbered the rights in any Beat in a manner that would conflict with the rights you are granting to Buyers or to Traxsters under this Agreement.
No Beat you upload infringes the copyright, trademark, moral rights, or any other intellectual property rights of any third party.
You will promptly notify Traxsters at legal@traxsters.com if you become aware of any actual or potential third-party claim that any of your Beats infringes a third party's intellectual property rights.
6. Revenue Share, Earnings, and Payouts
6.1 Revenue Share
For each completed Beat licence transaction on the Platform, you will earn a percentage of the sale price as defined in the Traxsters fee schedule published on the Platform ("Revenue Share"). The current Revenue Share rate is displayed on the Pricing page of your Producer dashboard and may be updated from time to time with at least 14 days’ notice to active Producers.
Traxsters retains the remaining percentage of each sale as its platform service fee, which covers payment processing, platform infrastructure, fraud protection, customer support, and promotional services. Traxsters’ service fee is automatically deducted from each transaction before your Earnings are credited to your account balance.
6.2 Earnings Balance
Your Earnings are credited to your in-platform Earnings balance as transactions are completed and cleared. Earnings are displayed in your Producer dashboard in real time. An Earnings balance is not a guaranteed payment until it has been disbursed; Traxsters reserves the right to withhold, adjust, or reverse Earnings in the circumstances described in this Agreement.
6.3 Payout Methods and Schedule
You may withdraw your available Earnings balance at any time, subject to the minimum payout threshold and the payout methods available on the Platform at the time of your request. Available payout methods may include third-party payment platforms (e.g. PayPal, Payoneer, or others as made available).
Payout processing times vary depending on your chosen method and your bank or payment provider. Traxsters targets a processing time of 3 to 7 business days from the date of your withdrawal request. Traxsters is not responsible for delays caused by third-party payment providers, banking holidays, or regulatory reviews.
6.4 Minimum Payout Threshold
A minimum Earnings balance is required before a payout can be requested. The current minimum threshold is displayed in your Producer dashboard. If your balance does not meet the threshold, it will remain in your account until the threshold is reached. Traxsters reserves the right to adjust the minimum threshold with reasonable notice.
6.5 Taxes and Withholding
You are solely responsible for determining, reporting, and paying all taxes applicable to your Earnings, including income tax, value-added tax (VAT), and any withholding taxes required under Nigerian law or the law of your jurisdiction. Traxsters is not your employer and does not withhold income tax on your behalf, except where required to do so by applicable law (e.g. withholding tax obligations under the Nigerian Finance Act).
You agree to provide Traxsters with any tax documentation or identification numbers reasonably requested for compliance purposes, including a Tax Identification Number (TIN) issued by the Federal Inland Revenue Service (FIRS) where applicable. Traxsters reserves the right to withhold payouts pending receipt of required tax documentation.
6.6 Withholding and Reversal of Earnings
Traxsters reserves the right to withhold, freeze, or reverse Earnings in your account in any of the following circumstances:
A verified copyright infringement claim is filed against one or more of your Beats.
A Buyer initiates a chargeback or payment dispute in connection with a transaction involving your Beat.
Traxsters suspects fraudulent activity, money laundering, or a violation of this Agreement or the Platform Policies involving your account.
Your account is subject to a legal hold, court order, or regulatory investigation.
You owe any outstanding amounts to Traxsters, including fees, penalties, or indemnification amounts.
Traxsters will notify you of any Earnings withholding and the reason for it as soon as reasonably practicable, subject to any legal restrictions on disclosure. Withheld Earnings will be released if the relevant dispute or issue is resolved in your favour. If the dispute is resolved against you, Traxsters may apply the withheld Earnings to cover any resulting liability.
7. Exclusivity and Multi-Platform Distribution
This Agreement is non-exclusive. You are not required to sell your Beats exclusively through Traxsters and may list the same Beats on other platforms simultaneously, subject to the following important restrictions:
If you sell an Exclusive Licence to a Beat through Traxsters, you must immediately remove that Beat from all other platforms and marketplaces where it is listed. Continuing to sell or license the same Beat to other buyers after an exclusive sale constitutes a serious breach of this Agreement, a breach of the licence granted to the Buyer, and may constitute copyright fraud.
You must not list a Beat on Traxsters as "available for exclusive sale" if you have already sold an exclusive licence to that Beat elsewhere.
You may not use Traxsters’ platform infrastructure, promotional tools, or Buyer network to drive traffic exclusively to competing platforms. Embedding external links in Beat descriptions or profiles for the purpose of directing Buyers away from completing transactions on Traxsters is prohibited.
Traxsters does not claim any right of first refusal or exclusivity over your catalogue unless separately agreed in writing. You are free to build your brand and sell your Beats across multiple platforms, so long as you honour the specific licence rights granted to each Buyer on each platform.
8. Prohibited Conduct
In addition to the prohibited conduct set out in the Traxsters Terms of Use and DMCA & Copyright Policy, Producers specifically agree not to engage in any of the following:
Uploading Beats that you did not create or for which you do not hold all necessary rights, regardless of how the Beat was sourced.
Falsely representing the originality, clearance status, or licensing history of any Beat in its listing, metadata, or in communications with Buyers or Traxsters.
Selling or purporting to grant exclusive licences to the same Beat to more than one Buyer, whether on Traxsters or across multiple platforms simultaneously.
Engaging in wash sales, self-purchases, or any other activity designed to artificially inflate your sales figures, revenue totals, or platform rankings.
Soliciting Buyers to complete transactions outside the Platform in order to avoid Traxsters’ service fees.
Using automated tools, bots, or scripts to artificially inflate play counts, download figures, or profile views.
Harassing, threatening, or engaging in abusive communications with Buyers, other Producers, or Traxsters staff.
Uploading malicious files, viruses, or any content designed to harm the Platform, its users, or third parties.
Impersonating another Producer, artist, or public figure in your profile, username, or Beat listings.
Sharing, selling, or otherwise transferring access to your Producer account to any third party.
9. Promotion and Marketing
9.1 Platform Promotion
Traxsters may, at its discretion, feature your Beats in curated playlists, homepage sections, promotional emails, social media posts, or other marketing channels. Such promotional placements are offered at no cost to you and are designed to increase visibility and sales. Traxsters makes no guarantee of any specific level of promotion, sales, or revenue.
9.2 Producer Self-Promotion
You are encouraged to promote your Traxsters profile and Beat listings through your own social media channels, website, and other marketing activities. When promoting your Traxsters content externally, you may use the Traxsters name and logo solely to identify the platform on which your Beats are sold, in accordance with Traxsters’ brand guidelines as published on the Platform from time to time. You may not use the Traxsters name or logo in any way that implies a partnership, endorsement, or affiliation beyond your status as a registered Producer.
9.3 Sponsored and Paid Promotions
Traxsters may, from time to time, offer paid promotional packages that provide enhanced visibility, featured placement, or other marketing benefits. Details of any such packages, including pricing and terms, will be made available in your Producer dashboard. Purchasing a promotional package does not guarantee a specific number of sales, plays, or Buyer interactions.
10. Indemnification
You agree to indemnify, defend, and hold harmless TRAXSTERS LTD, its directors, officers, employees, agents, and licensors from and against any and all third-party claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:
Any Beat you upload to the Platform, including any claim that such Beat infringes the copyright, trademark, or other intellectual property rights of any third party.
Any breach by you of your representations, warranties, or obligations under this Agreement.
Any dispute between you and a Buyer arising from a transaction, licence, or use of your Beat.
Any false or misleading statement made by you in connection with your Producer account, Beat listings, or licensing history.
Your violation of any applicable law or regulation in connection with your use of the Platform.
Traxsters reserves the right, at your expense, to assume exclusive control of the defence of any matter for which you are required to indemnify Traxsters, and you agree to cooperate fully with such defence. You may not settle any claim that imposes any obligation or liability on Traxsters without Traxsters’ prior written consent.
11. Suspension and Termination
11.1 Termination by Producer
You may terminate this Agreement and close your Producer account at any time by contacting support@traxsters.com or using the account deletion feature in your dashboard. Upon termination, your Beat listings will be removed from the Platform. All licences previously granted to Buyers remain valid and enforceable after termination. Any outstanding Earnings that are eligible for payout will be disbursed to you in accordance with the standard payout schedule, subject to any withholding obligations described in Section 6.6.
11.2 Termination or Suspension by Traxsters
Traxsters may suspend your ability to upload new content, withdraw Earnings, or access your account, or may permanently terminate your account and this Agreement, at any time and with or without prior notice, in the following circumstances:
You have violated this Agreement, the Terms of Use, or any other Platform Policy.
You have received three or more valid copyright infringement strikes under the DMCA & Copyright Policy.
Traxsters receives credible evidence of fraudulent, abusive, or illegal activity associated with your account.
You have provided false or materially misleading information during registration or at any point during your use of the Platform.
A court order, regulatory directive, or law enforcement request requires suspension or termination of your account.
Your account has been inactive for an extended period as defined in the Platform Policies.
11.3 Effect of Termination
Upon termination of this Agreement, the licence you granted to Traxsters under Section 5.2 will terminate with respect to future use, except to the extent necessary to fulfil existing Buyer licences. Sections 5.4, 6, 8, 10, 12, 13, and 14 of this Agreement shall survive termination.
12. Disclaimer of Warranties
THE TRAXSTERS PLATFORM IS PROVIDED TO PRODUCERS ON AN "AS IS" AND "AS AVAILABLE" BASIS. TRAXSTERS MAKES NO WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE PLATFORM, INCLUDING BUT NOT LIMITED TO:
Any guarantee of a minimum level of sales, revenue, plays, or Buyer engagement.
Any warranty that the Platform will be continuously available, error-free, or free of interruptions.
Any warranty regarding the accuracy, completeness, or reliability of analytics, sales data, or reporting tools available in your Producer dashboard.
Any guarantee that your Beats will be discovered, featured, or promoted by the Platform’s algorithms or editorial team.
Your use of the Platform as a Producer is entirely at your own commercial risk. Traxsters is a marketplace and does not guarantee commercial success for any Creator.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TRAXSTERS LTD SHALL NOT BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, PUNITIVE, OR SPECIAL DAMAGES ARISING OUT OF OR RELATED TO THIS AGREEMENT OR YOUR USE OF THE PLATFORM AS A PRODUCER, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST REVENUE, LOSS OF DATA, OR LOSS OF BUSINESS OPPORTUNITY.
IN ALL CASES, TRAXSTERS LTD’S TOTAL CUMULATIVE LIABILITY TO YOU UNDER THIS AGREEMENT SHALL NOT EXCEED THE TOTAL PLATFORM FEES PAID BY TRAXSTERS TO YOU IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE CLAIM.
14. General Provisions
14.1 Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising out of or in connection with this Agreement shall be subject to the dispute resolution process set out in the Traxsters Terms of Use, including mediation and binding arbitration seated in Lagos, Nigeria.
14.2 Amendments
Traxsters may amend this Agreement at any time by posting an updated version on the Platform and notifying you by email at least 14 days before the changes take effect. Your continued use of the Platform as a Producer after the effective date of any amendment constitutes your acceptance of the updated Agreement. If you do not agree to the amended terms, you must terminate your Producer account before the effective date.
14.3 Entire Agreement
This Agreement, together with the Traxsters Platform Policies incorporated herein by reference, constitutes the entire agreement between you and Traxsters with respect to your activities as a Producer on the Platform and supersedes all prior agreements, representations, or understandings relating to the same subject matter.
14.4 Severability
If any provision of this Agreement is found to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, without affecting the validity or enforceability of the remaining provisions.
14.5 No Waiver
Traxsters’ failure to enforce any provision of this Agreement shall not constitute a waiver of its right to enforce that provision in the future. Any waiver must be in writing and signed by an authorised representative of Traxsters.
14.6 Independent Contractor
You are an independent contractor and not an employee, partner, agent, or joint venturer of Traxsters. Nothing in this Agreement creates any employment relationship, partnership, or agency between you and Traxsters. You have no authority to bind Traxsters to any obligation or commitment.
14.7 Assignment
You may not assign or transfer your rights or obligations under this Agreement without Traxsters’ prior written consent. Traxsters may freely assign this Agreement in connection with a merger, acquisition, or sale of assets, with notice to you.
